Foodvio Terms of Service

01 · Parties & Scope

This Agreement is between:

• Service Provider: Beijing Foodvio Food Technology Co., Ltd. ("Foodvio," "we")
• User: any natural person, legal entity, or organization accessing or using this Site ("you")

This Agreement applies to www.foodvio.com.cn and all associated subpages, including the Foodvio main brand site and the ChinnPaPa brand showcase. If you act on behalf of an entity, you represent that you have authority to bind that entity.

02 · Site Nature & Service Description

2.1 Site Positioning

This Site is a brand showcase and commercial communication platform serving B2B foodservice clients (chain restaurants, light kitchens, coffee shops, KA, CVS, e-commerce, etc.). The Site does not currently provide online transactions, e-commerce, or payment services.

2.2 Services Provided

• Display of company, brand, product, and capability information
• Inquiry forms (sample request, catalog download, custom inquiry, meeting booking, origin tour, general contact)
• Industry insights and brand storytelling

2.3 Dual-Brand Structure

• Foodvio — B2B Western cuisine supply-chain brand
• ChinnPaPa — B2C children's nutrition brand (showcase only on this Site; future independent storefront separate)

2.4 Service Availability

We strive for continuous availability but do not guarantee uninterrupted, error-free service. We reserve the right to suspend or terminate parts of the service for maintenance, upgrades, faults, or other reasonable causes.

03 · User Conduct

3.1 Lawful Use

You commit to:

• Comply with applicable laws of the PRC and your jurisdiction
• Not engage in illegal, fraudulent, or infringing activities through this Site
• Not transmit unlawful, harmful, defamatory, obscene, or otherwise objectionable content
• Not attack, intrude, alter, or scrape the Site
• Not use automated tools for bulk inquiry submissions
• Not impersonate any individual or entity

3.2 Truthfulness

You warrant that all information you provide is true, accurate, complete, and lawful. You bear all consequences of providing false information.

3.3 Enforcement

If you violate these terms, we may: refuse to process your inquiry; restrict or block your access; report to authorities; pursue legal remedies and damages.

04 · Inquiries & Commercial Engagement

4.1 Nature of Inquiries

An inquiry submitted through this Site is solely an expression of interest in further communication. It does not constitute a legal offer or acceptance. Any actual partnership, supply, pricing, delivery, or payment terms are governed by a separately executed written contract.

4.2 Our Response

We will make reasonable efforts to contact you within a reasonable timeframe. We reserve the right to: choose whether to respond based on business circumstances; decline requests outside our scope; decline manifestly malicious, false, or harassing inquiries.

4.3 Sample Policy

Sample dispatch (variety, quantity, shipping, lead time) is confirmed individually with our sales team. The Site makes no express or implied warranty regarding samples.

4.4 Catalog Downloads

Product catalogs, capability decks, and PDFs you download are for your internal reference and decision-making only. You may not republish, commercially exploit, or transfer them to third parties without our prior written consent.

05 · Intellectual Property

5.1 Our Rights

All Site content — text, brand stories, product descriptions, images, icons, illustrations, photography, video, audio, animation, web design, layout, color schemes, typography, the "Foodvio" / "花花食界" / "ChinnPaPa" / "华仔爸爸" trademarks and brand identifiers, software code, data structures, and algorithms — is owned by Foodvio or its licensors and protected under applicable copyright, trademark, and unfair competition laws.

5.2 Limited License to You

Subject to your compliance, we grant a limited, non-transferable, revocable, non-exclusive license to: browse this Site; reference internally; share Site URLs.

5.3 Prohibitions

Without our prior written consent, you may not: copy, modify, derive, or distribute Site content; decompile, reverse-engineer, scrape, or crawl the Site; use the Site for commercial purposes, resale, or advertising; remove or alter copyright or trademark notices; use our brand names or trademarks in your products or marketing.

5.4 Your Feedback

Any suggestions, ideas, or content you voluntarily provide constitutes a perpetual, royalty-free, worldwide license to us for service improvement, with no obligation of compensation or attribution, and you warrant that the feedback contains no confidential information.

This Site may link to third-party sites, platforms, or services. We do not endorse or take responsibility for: their content or legality; transactions or disputes between you and them. Review their privacy and terms before engaging.

We use the following third-party technical services, whose own terms and policies also apply:

07 · Disclaimers & Limitation of Liability

7.1 Information Accuracy

We strive for accuracy but do not bear liability for: deviations from delayed updates; technical display anomalies; outcomes of business decisions you make based on Site information. Specifications, certifications, and capacity figures shown on this Site are subject to the executed contract and the inspection report of the actual supply batch.

7.2 Service Interruptions

We are not liable for interruptions caused by network operators, service providers, or force majeure; scheduled or emergency maintenance; third-party attacks or malware.

7.3 Liability Cap

7.4 Exclusion of Indirect Damages

Except where mandated by law, we are not liable for: lost profits or business opportunities; loss of goodwill; data loss; indirect, special, incidental, or punitive damages.

08 · Force Majeure

Neither party is liable for non-performance caused by force majeure (war, natural disasters, government action, network or power outages, pandemics, strikes, etc.), provided prompt notice and proof are given.

09 · Termination

9.1 Termination by You

You may terminate by ceasing to use this Site. Existing legal obligations (truthfulness of inquiries, IP obligations) survive termination.

9.2 Termination by Us

We may immediately terminate your access if you breach this Agreement, when required by law, or upon site shutdown or major business changes.

9.3 Survival

Termination does not affect accrued rights and obligations or the continued effect of Sections 5 (IP), 7 (Liability), and 11 (Disputes).

10 · Changes to This Agreement

We may revise this Agreement. Material changes will be announced prominently on the Site and become effective after the announcement period. Continued use constitutes acceptance.

11 · Dispute Resolution & Governing Law

11.1 Governing Law

This Agreement is governed by PRC law (excluding Hong Kong, Macau, and Taiwan).

11.2 Amicable Negotiation

Disputes shall first be resolved through good-faith negotiation.

11.3 Jurisdiction

Failing settlement, disputes shall be submitted to the people's court with jurisdiction at Foodvio's registered domicile.

12 · Miscellaneous

12.1 Entire Agreement

This Agreement, together with our Privacy Policy and Cookie Policy, constitutes the entire agreement, superseding prior arrangements on the subject matter.

12.2 Severability

If any provision is held invalid or unenforceable, the remainder remains in full force.

12.3 No Waiver

Our failure or delay in exercising any right does not constitute a waiver.
